Welcome to Coderthemes (accessible at coderthemes.com). We are a digital marketplace connecting independent digital creators ("Authors") with customers ("Buyers") looking for website themes, admin templates, UI kits, software code, and other developer assets (collectively, "Items").

By accessing or using Coderthemes, you agree to be bound by these User Terms. If you do not agree to these terms, you must not access or use our platform.

1. Context and Agreement

• Contracting Parties: These terms form a legally binding agreement between you ("User", "Buyer", or "Author") and Coderthemes. If you sign up on behalf of a company, you warrant that you have the legal authority to bind that entity.
• Licensing Model: Buying an Item on Coderthemes means you are purchasing a non-exclusive license to use that Item. Ownership of the Item remains at all times with the respective Author.

2. Your Account

• Age Requirement: You must be at least 18 years old to create an account and use the platform.
• Data Privacy Compliance: In compliance with the Indian Digital Personal Data Protection (DPDP) Act, 2023 and its active 2026 rules/enforcement framework, we collect your personal details strictly based on clear, informed, and explicit consent for specified transaction and delivery purposes. We do not process or sell your data to any third party. Your personal data is strictly used within the platform only for authentication and authorization only.
• Account Responsibility: You must provide true, accurate, and current information. Your account is non-transferable. You are entirely responsible for all activity that occurs under your account. Keep your password secure and notify us immediately at support@coderthemes.com if you suspect any breach of security.

3. Platform Rules & Prohibited Uses

To ensure a secure and fair marketplace, you agree not to:

• Interfere with or disrupt the performance of coderthemes.com (e.g., uploading malware, scraping content, or using bots to mass-download Items).
• Attempt to gain unauthorized access to our servers or network.
• Use any security testing tools to probe or scan our platform.
• Decompile, reverse engineer, or copy the underlying platform code of Coderthemes.
• Use our brand name, logo, or trademark without prior written consent.

4. Author Rules and Obligations

If you upload and sell Items on Coderthemes as an Author, you strictly warrant and agree that:

• Malware & Security Guarantee: You must thoroughly scan and guarantee that your Items do not contain malware, spyware, viruses, trojans, backdoors, or obfuscated malicious scripts designed to compromise end-user security.
• Originality & Ownership: You own or have all necessary licenses and rights to sell every part of the Item, ensuring it does not infringe on third-party intellectual property.
• Search and Rankings: We use proprietary algorithms to rank and display Items. We reserve the right to feature, promote, or adjust the search ranking of any Item at our discretion to optimize platform performance.

5. Licensing and Usage Types

When a Buyer purchases an Item, they can select from our two standardized license types:

A. Standard License

• Scope: Granted a non-exclusive, non-transferable license to use the Item to create a single End Product.
• Charging Restriction: You cannot charge end-users to access or use the End Product (the End Product must be distributed for free).

B. Commercial License

• Scope: Granted a non-exclusive, non-transferable license to use the Item to create a single End Product.
• Charging Allowed: You may charge end-users to access or use the End Product (e.g., selling it as a SaaS application, a commercial template, or a paid digital product).

*Note: You may not redistribute, resell, or sublicense the raw Item files as stock, templates, or standalone assets under either license.*

6. Support Policy

• No Default Support: To maintain competitive pricing, default Item purchases do not include any technical support, updates help, or additional installation assistance except for Docs included in the product.
• Support Add-ons: Buyers can purchase a dedicated Support Add-on at the checkout or subsequently to receive direct technical assistance from the Author.

7. No-Refund Policy

• All Sales Final: Due to the downloadable, digital nature of software, templates, and code assets, Coderthemes operates a strict no-refund policy.
• We advise all Buyers to preview Items, check technical requirements, and ask the Author questions before purchasing. Refund requests will only be reviewed at our absolute discretion in extreme cases of proven, non-functional files or fraudulent transactions.

8. Pricing, Payments, and Payouts

• Payment Processor: All checkout transactions, billing, and currency conversions on Coderthemes are handled securely via our third-party payment provider, Paddle.
• Taxes & Compliance: Prices displayed may be subject to local taxes (including GST in India or local sales tax/VAT depending on your location). Taxes are calculated and added at checkout.
• As an Indian platform, we operate in strict compliance with the Foreign Exchange Management Act (FEMA), Indian export/import laws, local GST filing rules, and the Consumer Protection (E-Commerce) Rules.
• Our platform procedures are aligned with the IS 19598:2026 self-governance standards for e-commerce, ensuring competitive neutrality, clear pricing disclosure, and robust dispute resolution.
• Author Payouts: Author earnings are tracked in US Dollars (USD). Payouts are automatically processed and released twice every month (bi-monthly cycles). Payouts will only be initiated if your payable balance exceeds the minimum threshold of $200 USD.

9. Intellectual Property (DMCA / Copyright Process)

We respect copyright laws and intellectual property rights. If you believe any Item hosted on our platform infringes your copyright, please submit a formal takedown notice to our compliance team at support@coderthemes.com with:

• Identification of the copyrighted work claimed to have been infringed.
• Direct URLs of the allegedly infringing material on our site.
• Your physical or electronic signature along with contact information (email, phone, address).
• A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

10. Disclaimer and Limitation of Liability

• "As-Is" Service: Coderthemes provides the marketplace platform on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
• No Liability for Items: Since Items are created and uploaded by independent Authors, Coderthemes takes no responsibility for the accuracy, quality, safety, or legality of the Items.
• Liability Cap: To the maximum extent permitted by law, Coderthemes’ total aggregate liability to you for any dispute arising out of or relating to these terms is limited to a maximum of $50 USD or the platform fees paid by you in the 6 months preceding the claim.

11. Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time without notice if we reasonably believe you have breached these terms, engaged in fraudulent behavior, uploaded malicious files, or acted in a way that harms our brand, authors, or community.

12. Governing Law and Dispute Resolution

• Governing Law: These terms are governed by, and shall be construed in accordance with, the laws of India, without regard to conflict of law principles.
• Arbitration: Any dispute, controversy, or claim arising out of these terms shall be settled by binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996 (including all statutory amendments).
• The seat and venue of the arbitration shall be Surat, India.
• The language of the arbitration shall be Gujarati.
• A single, mutually agreed arbitrator shall preside over the proceedings.
• Jurisdiction: For any matters not covered by arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Gujarat, India.

13. Accuracy of Materials

The materials appearing on Coderthemes' website could include technical, typographical, or photographic errors. Coderthemes does not warrant that any of the materials on its website are accurate, complete or current. Coderthemes may make changes to the materials contained on its website at any time without notice.

14. Third-Party Links

Coderthemes has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Coderthemes of the site. Use of any such linked website is at the user's own risk.

15. Modifications to Terms

Coderthemes may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.
